These Terms of Service (“Terms”) govern your access to and use of the
1224Tools Bathymetry service, including its websites, APIs, bathymetric
contour tiles, labels, documentation, account features, dashboards, and
related services (collectively, the “Service”).

By creating an account, purchasing a subscription, obtaining an API key,
or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Service.

1. Operator

The Service is operated by 1224Tools.

2. Eligibility and Authority

You must be at least 18 years old and have the legal capacity to enter
into a binding agreement in order to use the Service.

If you use the Service on behalf of a company, organization, or other
entity, you represent that you have the authority to bind that entity
to these Terms. In that case, references to “you” include that entity.

You must provide accurate and current registration information and
update it when necessary. You may not impersonate another person,
provide false information, or create multiple accounts for fraudulent
or abusive purposes.

3. Service Description

1224Tools Bathymetry provides bathymetric contour tiles and related
data for map display, visualization, software development, and similar
applications.

The Service may include APIs, raster tiles, labels, documentation,
developer tools, account management features, usage information,
billing-related features, and other related functionality.

4. Account and API Key Security

You are responsible for maintaining the security of your account
credentials, authentication information, and API keys and for taking
reasonable measures to prevent unauthorized use.

You must take reasonable measures to avoid exposing your API key in
public repositories, logs, documentation, or other locations where
third parties can easily obtain and misuse it.

Use of an API key in client-side code within your own website,
application, or service is not prohibited by itself. However, you remain
responsible for taking reasonable measures to prevent unauthorized use
of the key and for managing, restricting, rotating, or revoking the key
when appropriate.

If you become aware of, or reasonably suspect, the loss, disclosure,
or unauthorized use of an API key, you must promptly revoke or rotate
the affected key and contact 1224Tools when appropriate.

Except where the unauthorized use was caused by 1224Tools, usage made
through credentials assigned to your account may be treated as usage
by your account.

1224Tools may temporarily suspend or revoke an API key without prior
notice when 1224Tools reasonably suspects that the key has been
compromised, is being abused, or poses a security risk.

5. License to Use the Service

During an active subscription, trial, or other authorized access period,
and subject to these Terms and any applicable third-party license
requirements, 1224Tools grants you a limited, non-exclusive,
non-transferable, and non-sublicensable right to access the Service and
to display and use the provided tiles within your own websites,
applications, and services.

This license does not transfer ownership of the Service, its proprietary
software, APIs, infrastructure, processing systems, rendering systems,
documentation, or other proprietary materials to you, and does not alter
the ownership status, public-domain status, or license status of any
underlying third-party data.

You must comply with any attribution requirements and third-party
license conditions identified on the License page or elsewhere in the
Service.

When your subscription, trial, other authorized access period, or
account terminates, your right to make new API requests and obtain new
tiles ends, except to the extent that applicable law or a third-party
open-data license independently grants you rights that cannot be
restricted by these Terms.

Static outputs lawfully created during an authorized access period,
including screenshots, reports, PDFs, printed materials, and similar
rendered outputs, may continue to be used and distributed after that
access period ends, subject to applicable attribution requirements,
third-party license conditions, and the rights of the underlying data
providers.

6. Intellectual Property and Third-Party Data

1224Tools retains all rights that it holds in the Service, including
its websites, APIs, software, design, documentation, tile generation
systems, delivery systems, processing methods, and other materials
independently created by 1224Tools.

Underlying source data and other third-party materials remain subject
to their applicable ownership status, public-domain status, license
terms, attribution requirements, and other rights established by their
respective providers or licensors.

Nothing in these Terms grants you ownership of third-party materials
or limits independent rights that may be granted to you directly by an
applicable third-party license or public-domain status.

Additional information about the underlying data sources and applicable
licenses is provided on the License page.

7. Prohibited Uses

You may not:

  • share, sell, rent, or disclose your API key to unauthorized third parties, except for client-side use within your own website, application, or service as permitted under Section 4;
  • resell, redistribute, sublicense, or provide the tiles themselves as a standalone product or service;
  • operate a proxy, mirror, relay, or equivalent service for the purpose of redistributing 1224Tools Bathymetry tiles to third parties;
  • perform bulk, sequential, automated, or systematic downloading intended to collect large portions of the tile set;
  • construct a permanent local archive, mirror, database, or substantially complete independent tile set from the Service;
  • copy or reproduce all or a substantial portion of the Service for redistribution;
  • circumvent authentication, rate limits, request limits, Hard Limits, access controls, or other technical restrictions;
  • interfere with, overload, attack, exploit, probe, or attempt unauthorized access to the Service;
  • reverse engineer the Service for the purpose of extracting or reconstructing source datasets, internal systems, or protected technical information;
  • use the Service for unlawful activities or to infringe the rights of others; or
  • use the Service as the sole or primary source of information for navigation, collision avoidance, grounding avoidance, anchoring decisions, diving safety, or other safety-critical decisions involving life or property.

Temporary caching that normally occurs in browsers, mapping SDKs,
applications, CDNs, or similar systems is permitted when reasonably
necessary for normal display and operation of your application.

Such caching must not be used to create a permanent tile archive,
mirror, redistribution service, or independent dataset.

8. Plans, Request Allowances, and Overage

The available plans, prices, request allowances, and other commercial
terms are displayed on the Pricing page or during checkout.

The current self-service plans are billed monthly and use a billing
cycle based on the subscription start date.

Unless otherwise specified, request allowances are measured per
subscription and reset at the beginning of each billing cycle.
Usage across API keys associated with the same subscription may be
aggregated.

A successfully authenticated external API request for a contour or
label tile that successfully returns the requested tile counts as one
billable request, including requests served from cache.

BoatLog first-party requests, public Live Map requests,
authentication failures, Hard Limit rejections, HTTP 404 responses,
and HTTP 5xx responses are not counted as billable external API usage.

Overage is disabled by default. If you do not explicitly enable
Overage, the Service will apply a Hard Limit when your included request
allowance is exhausted, and no overage charges will be incurred.

If you explicitly enable Overage, requests above your included
allowance may continue and will be charged at the applicable overage
rate shown on the Pricing page or checkout screen.

9. Billing, Taxes, and Paddle

Self-service plans are generally displayed and billed in U.S. dollars
(USD).

Subscription payments, billing, applicable tax calculation and
collection, and related payment processing are handled through Paddle,
which acts as the Merchant of Record for applicable transactions.

Applicable sales tax, consumption tax, VAT, GST, or other taxes may
be calculated and added at checkout based on your location and other
relevant information.

You are responsible for any currency conversion fees, foreign
transaction fees, bank fees, card issuer fees, or other charges imposed
by your financial institution or payment provider.

Subscription fees are charged on a recurring monthly basis through
Paddle unless your subscription is canceled or otherwise terminated.

If you believe that a billing amount is clearly incorrect, you should
contact 1224Tools within a reasonable period after discovering the issue.

10. Automatic Renewal and Cancellation

Subscriptions automatically renew for successive monthly billing
periods unless canceled.

You may cancel your subscription at any time. Cancellation does not
immediately terminate access.

After cancellation, you may continue to use the Service until the end
of the billing period that has already been paid.

No prorated refund is provided for the unused portion of a billing
period following cancellation.

No further recurring subscription charge will be made after the
current paid billing period ends.

Cancellation does not waive any usage-based charges or other payment
obligations incurred before the end of the applicable billing period.

Usage-based charges incurred during the applicable billing period may
be calculated and finalized after that billing period ends and may be
charged separately after cancellation.

Any invoice issued for such final usage-based charges is due within
14 days from the date of issuance.

11. Refund Policy

Payments are generally non-refundable.

Refunds may be provided in cases of duplicate billing, incorrect
billing, a serious service failure attributable to 1224Tools, where
required by applicable law, or in other cases where 1224Tools
determines that a refund is appropriate.

A change of mind, reduced usage, failure to use the Service, or
cancellation during a billing period does not normally entitle you to
a refund.

Nothing in this section limits any mandatory refund or consumer rights
that cannot legally be excluded.

12. Plan Changes

Upgrades

Upgrades take effect immediately.

When you upgrade during a billing cycle, you will be charged the
difference between the price already paid for your current plan and
the full price of the upgraded plan for that billing cycle.

The upgraded plan’s request allowance and applicable features become
available immediately after the upgrade is successfully processed.

Downgrades

Downgrades take effect at the beginning of the next billing cycle.

Until then, your current plan, allowance, and features remain active.
No refund or credit is provided for the difference between the current
plan and the lower-priced plan during the existing billing period.

Enterprise arrangements may be subject to separate written terms.

13. Failed Payments and Grace Period

If a recurring payment fails, your subscription will enter a past-due
status.

A seven-day grace period applies from the initial failed renewal
payment. During this grace period, API access will remain available
while payment recovery or retry attempts are made.

Usage during the grace period continues to be measured as part of the
new billing cycle.

If payment is successfully recovered during the grace period, the
subscription continues normally.

If payment remains unpaid after the seven-day grace period, API access
will be suspended while account and Dashboard access remain available
for payment recovery and account management.

14. Long-Term Non-Payment

If payment remains unresolved for 30 days from the initial failed
payment, the affected subscription will be automatically terminated.

Termination of the subscription does not automatically delete the
underlying account.

Any payment obligations that arose before suspension or termination
remain payable to the extent permitted by applicable law.

If you subscribe again after termination, the new subscription begins
a new billing cycle.

15. Trials, Discounts, Coupons, and Promotions

1224Tools may offer free trials, discounts, coupons, promotions, or
other limited-time offers.

Each offer may be subject to specific eligibility criteria, time
limits, usage limits, discount rates, or other conditions displayed
with the offer or during checkout.

Unless otherwise stated, promotions may not be combined.

If a free trial automatically converts into a paid subscription,
the applicable price, billing date, and other material conditions
will be disclosed before you begin the trial.

1224Tools may modify or discontinue promotional offers to the extent
permitted by law, subject to any terms already applicable to an
accepted offer.

1224Tools may cancel promotional benefits obtained through fraud,
multiple-account abuse, or other violation of promotional conditions.

16. Suspension and Termination by 1224Tools

1224Tools may suspend, restrict, revoke API access, disable API keys,
or terminate an account or subscription when reasonably necessary,
including in cases involving:

  • fraud, abuse, attacks, scraping, excessive automated acquisition, or activity that harms the Service or other users;
  • unauthorized sharing, resale, redistribution, or disclosure of API keys or Service access;
  • illegal activity or infringement of third-party rights;
  • non-payment, subject to Sections 13 and 14;
  • a material violation of these Terms;
  • an urgent security risk;
  • a legal, regulatory, court, or governmental requirement; or
  • other circumstances where suspension is reasonably necessary to protect the Service or its users.

For minor or remediable violations, 1224Tools may provide a warning
or opportunity to correct the issue.

For serious violations, fraud, security incidents, attacks, or urgent
risks, 1224Tools may take action immediately and without prior notice.

Suspension or termination does not eliminate fees or other obligations
that arose before the effective date of suspension or termination.

Suspension or termination resulting from your violation of these Terms
does not entitle you to a refund or credit for any unused portion of a
paid billing period, except where required by applicable law.

17. Account Deletion

Canceling a subscription does not automatically delete your account.
If you want your account deleted, you must separately request account
deletion through the available account deletion process.

Account deletion may not be completed while your account has any
outstanding balance, unpaid usage-based charges, or other unresolved
payment obligations. 1224Tools may require those obligations to be
resolved before completing account deletion, except where applicable
law requires otherwise.

Once any outstanding payment obligations have been resolved, or where
applicable law requires account deletion notwithstanding such
obligations, 1224Tools will delete or anonymize personal information
associated with the account within 30 days, except for information that
must or may reasonably be retained for legal, tax, accounting, security,
fraud prevention, or dispute resolution purposes.

Account deletion will disable API keys and terminate access rights
associated with the deleted account.

Additional information about data handling and retention is provided
in the Privacy Policy.

18. Third-Party Services

The Service may depend on third-party data providers, cloud
infrastructure, payment processors, authentication providers, and
other external services.

The availability, specifications, terms, outages, changes, or
discontinuation of those third-party services may be outside the
reasonable control of 1224Tools.

1224Tools does not guarantee the accuracy, completeness, timeliness,
availability, or continued supply of third-party data itself.

You are responsible for complying with applicable third-party licenses,
attribution requirements, and other conditions relating to third-party
materials used through the Service.

References or links to third-party products or services do not
necessarily constitute an endorsement or guarantee by 1224Tools.

19. Data Accuracy and Safety Disclaimer

1224Tools Bathymetry is a data service intended for map display,
visualization, and development purposes. It is not a nautical chart,
navigation dataset, navigation safety system, or collision avoidance
system.

1224Tools does not guarantee the accuracy, completeness, timeliness,
or fitness for a particular purpose of water depths, bathymetric
contours, coastlines, positions, geometry, labels, or other displayed
information.

Differences from actual seabed conditions or water depths may result
from source-data resolution, interpolation, smoothing, processing,
coordinate transformation, tile generation, or other technical
processes.

You must not use the Service as the sole or primary source of
information for navigation, grounding avoidance, collision avoidance,
anchoring decisions, diving, safety planning, or other decisions that
may affect life or property.

Where appropriate, you should use official nautical charts, electronic
navigational charts, local navigation information, Notices to Mariners,
and other suitable authoritative sources.

Subject to Section 23 (Limitation of Liability), and to the maximum
extent permitted by applicable law, 1224Tools is not liable for losses
resulting from decisions made based on the Service’s data or
visualizations.

20. Service Availability, Changes, and Discontinuation

1224Tools may temporarily suspend, modify, restrict, or discontinue
all or part of the Service due to maintenance, outages, security
requirements, network failures, third-party service failures, force
majeure events, operational requirements, or other reasonable causes.

API specifications, available datasets, tile structures, supported
zoom levels, features, and other parts of the Service may be changed
or updated when necessary.

For material changes that may significantly affect compatibility,
1224Tools will make reasonable efforts to provide advance notice.
However, advance notice may not be possible for urgent security,
legal, or operational changes.

1224Tools does not guarantee uninterrupted availability, error-free
operation, any specific response time, or any particular level of
performance.

Subject to Section 23 (Limitation of Liability), and to the maximum
extent permitted by applicable law, 1224Tools is not liable for losses
arising from Service outages, interruptions, changes, discontinuation,
or data updates.

21. No Service Level Agreement for Self-Service Plans

Unless otherwise agreed in writing, the Developer, Indie, Pro, and
Business plans are provided without any service level agreement,
guaranteed uptime, guaranteed response time, or guaranteed recovery
time.

Enterprise customers may enter into a separate written agreement
containing specific service level commitments.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is
provided on an “as is” and “as available” basis.

1224Tools disclaims warranties of accuracy, completeness, reliability,
availability, merchantability, fitness for a particular purpose,
non-infringement, and any other warranties that may lawfully be
disclaimed.

Nothing in these Terms excludes warranties or rights that cannot
legally be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, 1224Tools will not
be liable for indirect, incidental, special, consequential, exemplary,
or punitive damages, or for loss of profits, revenue, business
opportunities, goodwill, or data arising out of or relating to the
Service.

To the maximum extent permitted by applicable law, the total aggregate
liability of 1224Tools arising out of or relating to the Service or
these Terms will not exceed the total amount actually paid by you for
the Service during the three months immediately preceding the event
giving rise to the claim.

Enterprise agreements may establish different liability limitations
in writing.

Nothing in these Terms limits liability that cannot legally be limited
under applicable law.

24. Indemnification

To the maximum extent permitted by applicable law, you agree to
indemnify and hold harmless 1224Tools from and against third-party
claims, liabilities, damages, losses, and reasonable costs and expenses,
including reasonable legal fees, arising out of or relating to:

  • your unlawful or unauthorized use of the Service;
  • your material violation of these Terms;
  • your infringement or violation of the rights of a third party; or
  • your website, application, service, content, or activities in connection with your use of the Service.

This obligation does not apply to the extent that a claim, liability,
damage, loss, cost, or expense is caused by 1224Tools or results solely
from use of the Service in accordance with these Terms.

25. Survival

Any provisions of these Terms that by their nature are intended to
survive the termination or expiration of your subscription, account,
or access to the Service will remain in effect after such termination
or expiration.

This includes, where applicable, provisions relating to outstanding
payment obligations, intellectual property, third-party rights and
licenses, permitted continued use of previously created static outputs,
disclaimers, limitation of liability, indemnification, governing law,
jurisdiction, and any other provisions necessary to give effect to
those obligations.

26. Changes to These Terms

1224Tools may modify these Terms when reasonably necessary due to
changes in law, the Service, pricing, functionality, security,
operations, or business requirements.

For material changes, 1224Tools will make reasonable efforts to provide
advance notice through the website, Dashboard, registered email address,
or another reasonable method.

Where advance notice is impractical due to urgent security, legal, or
operational requirements, notice may be provided as soon as reasonably
practicable after the change.

Updated Terms become effective on the effective date stated in the
notice or updated Terms.

Your continued use of the Service after the effective date constitutes
acceptance of the updated Terms.

Changes to recurring subscription pricing for existing customers will
be communicated before the applicable renewal, except where immediate
changes are required by law, tax rules, or other circumstances beyond
the reasonable control of 1224Tools.

27. Notices and Communications

1224Tools may provide notices to you by email to your registered email
address, through the Dashboard, through the website, or by another
reasonable method.

You are responsible for keeping your contact information accurate and
current.

An email notice is generally considered delivered when it has been
sent through the normal delivery process, unless 1224Tools becomes
aware that delivery failed.

Questions concerning the Service, billing, accounts, API usage, these
Terms, or applicable License information should be sent through the
contact method designated by 1224Tools on its website.

Where applicable law requires a particular form of notice, that law
will apply.

28. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to
conflict-of-law principles.

If a dispute arises in connection with the Service or these Terms,
the parties should first attempt in good faith to resolve the dispute
through discussion.

If the dispute cannot be resolved, the Osaka District Court will have
exclusive jurisdiction as the court of first instance, unless
applicable mandatory law requires otherwise.

Nothing in these Terms limits any mandatory consumer protection rights
or other rights that cannot be waived under applicable law.

29. Severability

If any provision of these Terms is found to be invalid, illegal, or
unenforceable, the remaining provisions will continue in full force
and effect to the maximum extent permitted by law.

30. Entire Agreement

These Terms, together with the Privacy Policy, License information,
Pricing terms, and any other policies or written agreements expressly
incorporated by reference, constitute the agreement governing your
use of the Service, except where a separate written Enterprise or
other individual agreement applies.
